About the Association


Representation of charitable and non-profit organizations has been one of the specialties at Simonds, Winslow, Willis & Abbott for decades.  We have addressed the legal needs of these organizations in numerous areas, including:

  • Incorporation caritable and not-for profit entities under Chapter 180 of the Massachusetts General Laws

  • Establishment of charitable trusts

  • Allowance of accounts for testamentary charitable trusts

  • Assisting in the purchase of real estate for charitable facilities

  • Assisting in the sale of real estate received as bequests, or no longer needed for an organization’s facilities

  • Preparing and filing with the Internal Revenue Service Applications (on Form 1023) for Recognition of Exemption from Income Tax under Section 501(c)(3)

  • Preparing and filing with the Internal Revenue Service Returns of Organizations Exempt from Income Tax for both public charities and private foundations (on Forms 990 and 990-PF)

  • Filing required annual reports with the Massachusetts Attorney General’s Division of Public Charities and the Secretary of the Commonwealth

  • Bringing court applications for instructions, cy pres, and deviation when the terms of a bequest or trust are no longer suitable for current operations

  • Representing charities named as defendants in such cases, or in cases of other types of claims against them

  • Monitoring legacies and bequests to which a charity is entitled

Typically, work for charitable and not-for-profit organizations is done at a discount from our normal time charges.
